Terms & Conditions

Definitions

  • Agreement – The signed proposal, these Terms and Conditions, and any related documentation.
  • Client Content – Text, images, branding materials, data, or other materials provided by the Client for use in the Project.
  • Deliverables – Work products to be provided as outlined in the Agreement.
  • Company Tools – Proprietary tools, frameworks, software, source code, methodologies, design systems, and technical processes developed or owned by the Company.
  • Final Deliverables – The completed and approved version of Deliverables provided to the Client.
  • Project – The scope of work defined in the Agreement.
  • Services – Development, consulting, and related services described in the Proposal.

Third-Party Materials – Assets obtained from external providers, including stock images, fonts, plugins, or licensed software.

Provision of Services

The Company will perform Services according to the mutually agreed Proposal and milestone schedule.

Proposal Validity

Proposals remain valid for 30 calendar days from issuance. If not accepted within this timeframe, we reserve the right to revise pricing, scope, or timelines.

Fees and Payment

Fees. All project fees and applicable taxes are payable as outlined in the agreed payment schedule.

Additional Costs. Third-party expenses such as hosting, licensing, or paid tools will be billed separately.

Expenses. Pre-approved project-related expenses will be charged at cost.

Invoices. Invoices are payable within five (5) days of receipt unless otherwise agreed in writing.

Scope Changes

  • Change Requests. All change requests must be submitted in writing. We will respond within five (5) business days with cost and timeline implications.
  • Minor Modifications. Adjustments estimated below 20% of the project value may be billed at standard hourly rates.
  • Major Modifications. Changes exceeding 20% of the original scope may require a new Proposal. Work will pause until written approval is received.

Failure to approve revised proposals within fourteen (14) business days releases the Company from obligation to proceed with additional work.

Project Delays

  • Client Delays. Failure to provide approvals or materials on time will result in proportional extensions of deadlines.
  • Company Delays. If delays arise from our side, we will promptly notify the Client.
  • Force Majeure. Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, governmental actions, labor disputes, or acts of war.

Testing and Acceptance

Deliverables will undergo commercially reasonable testing prior to submission. The Client has seven (7) business days to approve or provide written feedback. We will correct valid issues within fourteen (14) business days, after which the Client has an additional seven (7) business days for review.

Client Responsibilities

The Client agrees to:

  • Provide accurate and legally compliant content
  • Ensure submitted materials are proofread
  • Secure proper rights for all supplied assets
  • Make timely decisions regarding third-party services

Corrections due to Client errors may incur additional charges.

Attribution and Portfolio Rights

Unless otherwise agreed, the Company may:

  • Include a discreet attribution link in Deliverables
  • Display completed work in portfolios, marketing materials, and case studies

Neither party shall unreasonably withhold permission to reference the collaboration publicly.

Confidentiality

Both parties agree to protect confidential information disclosed during the Project. Confidential information does not include data that:

  • Is publicly available
  • Was known prior to disclosure
  • Was lawfully received from a third party

Independent Contractor Relationship

The Company operates as an independent contractor. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.

We may engage subcontractors but remain responsible for Deliverables.

Intellectual Property and License

Upon full payment, the Client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables in the agreed format.

Company Tools and proprietary systems remain the exclusive property of the Company.

The Client may not resell, modify, reverse engineer, or create derivative works without written consent.

Limitation of Liability

Services are provided “as is.” The Company’s total liability shall not exceed the total amount paid by the Client for the relevant Project.

We are not responsible for indirect, incidental, or consequential damages.

Support and Warranty

Post-delivery support may be provided at standard hourly rates unless otherwise agreed. Warranty is void if third parties modify Deliverables without authorization.

Amendments

We reserve the right to update these Terms and Conditions at any time. Continued use of our website or services constitutes acceptance of any revised terms.
